MEDIA RIGHTS TERMS & CONDITIONS

1. WHO WE ARE AND ACCEPTANCE OF THESE TERMS

These Media Rights Terms & Conditions (the "Terms") are issued by Championship Off-Road Racing, LLC, an Arizona limited liability company, doing business as CORR ("CORR," "we," or "us").

These Terms apply to every person or organization ("you") that attends, records, photographs, streams, or otherwise captures any CORR Event, or that uses any CORR Content, including spectators, credentialed media, race teams, drivers, crew members, sponsors, vendors, and production companies.

You accept these Terms by doing any of the following: (a) submitting a CORR Media Credential Application; (b) accepting a CORR Media Credential or wristband; (c) entering an event through a CORR ticket, pass, or entry that references these Terms; or (d) using CORR Content. If you do not agree, do not apply for a credential, do not record at a CORR Event, and do not use CORR Content.


2. DEFINITIONS

- "Event" means any race, practice, qualifying session, test, autograph session, press activity, or other activity organized or sanctioned by CORR, including the venue, pits, paddock, and restricted areas during the event.

- "Event Content" means any photograph, video, audio, live stream, broadcast, film, or other recording of any kind, in any format now known or later developed, that depicts or is captured at an Event, including onboard and in-vehicle camera footage, drone footage, and any edits or derivative works of such material.

- "CORR Content" means all Event Content created by or for CORR, the CORR media library, CORR broadcasts and live streams, CORR websites, CORR live timing and scoring data, and all CORR press materials and program content.

- "CORR Marks" means the names CORR and Championship Off-Road Racing, CORR event names, logos, trade dress, and other trademarks of CORR.

- "Credential" means a CORR Media Credential issued for a specific Event. A "Credential Holder" is the individual who receives one, together with the agency, outlet, team, or organization named in the application.

- "Editorial Use" means news reporting, commentary, and journalism in a bona fide news publication, broadcast news program, or news website, and not to advertise or promote any product, service, or person.

- "Team Use" is defined in Section 6.2.

- "Personal Use" means private, non-commercial use by an individual, including posting on the individual's personal social media accounts, as described in Section 4.

- "Commercial Use" means any use of Event Content or CORR Content that is not Editorial Use, Team Use, or Personal Use. This includes advertising, sponsorship activations, merchandise, paid or monetized content, licensing or selling footage or images to third parties, broadcast or streaming programming, films, and video games, whether or not you charge for it.


3. CORR'S RIGHTS

3.1 Ownership of CORR Content. CORR owns all right, title, and interest, including all copyrights, in CORR Content and the CORR Marks.

3.2 Control of Event Recording and Distribution. CORR controls access to Events and permission to record, photograph, broadcast, stream, and distribute them. Access to an Event, and any right to capture Event Content, is granted only on the conditions in these Terms.

3.3 No Transfer of CORR's Rights. No Credential, license, ticket, entry, or payment, and no lack of payment, transfers or reduces any of CORR's rights. Every permission CORR grants is limited, non-exclusive, non-transferable, and non-sublicensable unless a written license signed by CORR says otherwise. All rights not expressly granted are reserved by CORR. Whether or not CORR charges a fee for access or a license, CORR's rights stay the same.

3.4 CORR's License in Event Content Created by Others. As a condition of Event access, each Credential Holder, race team, and participant grants CORR the license described in Section 7.


4. SPECTATORS: PERSONAL USE

Spectators may take photographs and video from spectator areas for their own personal, non-commercial use. This includes sharing on personal social media accounts. Spectators may not:

- live stream or rebroadcast any complete race, session, or substantial part of one;
- sell, license, or monetize Event Content, including through monetized channels or on behalf of a business or sponsor; or
- use Event Content in any way that suggests CORR sponsors or endorses anyone.

CORR may require any person violating this Section to stop recording, may remove that person from the Event, and may pursue the remedies in Section 10.


5. MEDIA CREDENTIALS: GENERAL REQUIREMENTS

5.1 Event-by-Event. Credentials are issued for one Event at a time. CORR does not issue annual or automatically renewing Credentials. One application may request more than one Event, but CORR reviews and approves each Event separately. Approval for one Event does not guarantee approval for any other.

5.2 Requirements. To work an Event as media, you must complete all of the following before the Event:

1. Submit a Media Credential Application at least seven (7) days before the Event and receive CORR's approval by email;
2. Sign the CORR Media Safety Regulations and Guidelines; and
3. Hold a valid USAC Off Road License for the Event date.

No on-site applications will be accepted. Holding a USAC license or a signed safety form does not by itself grant media access.

5.3 CORR's Discretion. CORR may approve, deny, limit, or revoke any Credential at its sole discretion. Submitting an application does not guarantee approval.

5.4 Personal and Non-Transferable. Credentials and wristbands are personal to the Credential Holder and may not be transferred, shared, or sold. Credential Holders must follow all directions of CORR officials and the Media Safety Regulations and Guidelines at all times.

5.5 Accurate Information. You must give CORR accurate, complete information in your application, including the outlet, team, or organization you represent and how you intend to use Event Content. CORR may verify this information directly with your outlet or team.


6. CREDENTIAL CATEGORIES

There is no fee for a Category A, Category B, or Category D Credential. A Category C Credential requires an executed CORR Production License (Section 8).

6.1 Category A: Press / Editorial. For credentialed journalists, photographers, and videographers working for a news outlet or as bona fide freelance journalists. Event Content captured under a Category A Credential may be used for Editorial Use only.

6.2 Category B: Race Team. For media personnel designated by a race team entered in the Event, as verified by the team's Driver-of-Record or designated team representative. "Team Use" means:

(a) use on websites and social media accounts owned or controlled by the team or its drivers; and
(b) providing Event Content to the team's own sponsors for non-paid (organic) social media posts that identify the sponsor's association with the team.

Team Use is limited to Event Content depicting the team's own vehicles, drivers, and crew. Team Use does not include paid advertising, sponsor advertising campaigns, product packaging, merchandise, or selling or licensing Event Content to anyone. Those uses are Commercial Use. The team is responsible for its sponsors' compliance with these Terms.

A Category B Credential is for a team's own media personnel working for that one team. A photographer or videographer who shoots for more than one team, or who sells Event Content to participants, must apply as a Category D Event Photographer.

6.3 Category C: Commercial Production. For any person or organization capturing Event Content for Commercial Use. A Category C Credential will be issued only after a CORR Production License has been fully executed. The Credential application must identify the executed Production License.

6.4 Category D: Approved Event Photographer. For independent photographers and videographers who shoot an Event and sell Event Content to participants, whether arranged before the Event or offered afterward. CORR approves Event Photographers event by event and may limit how many it approves for any Event.

6.4.1 Permitted Sales. An approved Event Photographer may sell or deliver Event Content, including through online galleries, digital downloads, and prints, to:

(a) drivers, race teams, crew members, and their families, for Personal Use or Team Use; and
(b) a race team that engages the Event Photographer before or after the Event, for that team's Team Use.

A buyer's use is limited to Personal Use or Team Use. A race team's payment for services or images does not expand Team Use.

6.4.2 Not Permitted Without a CORR License. An Event Photographer may not sell, license, or provide Event Content:

(a) to sponsors, advertisers, or manufacturers for advertising or other Commercial Use;
(b) to news outlets, publishers, or stock photo or video agencies; or
(c) to anyone else for Commercial Use.

6.4.3 Buyer Terms. Every gallery, order page, or invoice must include this notice, or another notice CORR approves:

"Images from CORR events are for personal use and race team use only. Advertising, sponsor, and other commercial use requires a license from Championship Off-Road Racing (CORR)."

6.4.4 No Official Status. Event Photographers may identify themselves as an "Approved CORR Event Photographer" for the approved Event. They may not describe themselves as CORR's official photographer, or otherwise use the CORR Marks, without CORR's written permission.

6.5 Onboard and Team Cameras. In-vehicle, onboard, and pit cameras operated by or for a race team are covered by these Terms. Footage from them is Event Content subject to Team Use, Section 7, and all other provisions, whether or not the camera operator holds a Credential.


7. EVENT CONTENT CREATED BY CREDENTIAL HOLDERS, TEAMS, AND PARTICIPANTS

7.1 License to CORR. In consideration for access to CORR Events, including no-fee Credentials and access, you hereby grant CORR, its affiliates, successors, and assigns a non-exclusive, perpetual, irrevocable, worldwide, royalty-free, fully paid-up license, with the right to sublicense, to use, reproduce, edit, adapt, distribute, publicly display, publicly perform, broadcast, stream, and otherwise exploit, in all media now known or later developed, all Event Content you capture or cause to be captured at an Event. This license applies to all Event Content captured under any Credential Category, including no-fee Credentials, and to all onboard and team camera footage.

7.2 Delivery. On CORR's request, you will provide CORR with copies of the requested Event Content in its original, full-resolution format within thirty (30) days.

7.3 Credit. Where reasonably practicable, CORR will credit the photographer, outlet, or team when CORR publishes Event Content provided under this Section. CORR's failure to give credit is not a breach of these Terms.

7.4 Your Use Is Limited. Your own use of Event Content you capture is limited to the use permitted by your Credential Category (Editorial Use, Team Use, or the sales permitted in Section 6.4), or by a signed CORR license. Any other use requires CORR's prior written license.

7.5 Your Warranties. You represent that you have the right to grant the license in Section 7.1. If a photographer, videographer, or contractor you engage captures Event Content, you are responsible for obtaining the rights needed to grant that license. CORR does not require you to obtain releases from racers, crew, or spectators who appear in Event Content used as permitted by your Credential Category. You are responsible for any releases or permissions required for your particular use of Event Content beyond that, such as use in advertising.


8. COMMERCIAL USE: PRODUCTION AND ACQUISITION LICENSES

8.1 Production License. Capturing Event Content for Commercial Use requires a CORR Production License, executed before the Event, together with a Category C Credential for each crew member. Production Licenses are issued on an event-by-event basis.

8.2 Acquisition License. Using existing CORR Content from the CORR media library requires a CORR Acquisition License. Once it is executed, CORR will provide the licensed content in the format requested, where available.

8.3 License Terms. CORR grants Production and Acquisition Licenses case by case, at its sole discretion. Fees and terms depend on the intended use, including:

- type of media (television, streaming, print, website, social media, other);
- territory (U.S. or worldwide);
- term (limited term or perpetual);
- amount of footage or number of images used;
- number of versions or edits; and
- whether you will grant CORR rights in the content you produce.

Be prepared to describe your intended use in detail. The signed license agreement governs the licensed use. These Terms apply to anything the license does not address.


9. USE RESTRICTIONS (ALL USERS)

Except as expressly permitted by these Terms or a written license signed by CORR, you may not:

(a) use Event Content or CORR Content for Commercial Use;
(b) live stream, broadcast, or rebroadcast any Event or substantial portion of an Event;
(c) sell, license, sublicense, or otherwise transfer Event Content or CORR Content to any third party, except sales by an approved Event Photographer as permitted in Section 6.4;
(d) collect, republish, or redistribute CORR live timing and scoring data for Commercial Use;
(e) use the CORR Marks, or use Event Content in a way that suggests CORR sponsors, endorses, or is affiliated with any person, product, or service;
(f) remove, obscure, or alter any copyright notice, watermark, credit, or CORR Mark on CORR Content; or
(g) operate a drone or other unmanned aircraft at an Event without CORR's separate prior written approval and compliance with all applicable FAA rules.

When publishing CORR Content, include the credit line "Courtesy of Championship Off-Road Racing (CORR)" or another credit CORR approves.


10. REVOCATION AND ENFORCEMENT

10.1 Revocation. CORR may revoke any Category A, Category B, or Category D Credential, and any permission granted under these Terms, at any time. When revoked, you must stop the permitted use and may be removed from the Event. Revocation of a Production or Acquisition License is governed by that license. The license to CORR in Section 7 survives any revocation or expiration.

10.2 Unauthorized Use. Any use of Event Content or CORR Content that violates these Terms is unauthorized. For any unauthorized use, including any Commercial Use under a no-fee Credential, CORR may pursue all remedies available at law or in equity, including damages, disgorgement of profits, and a reasonable license fee for the use.

10.3 Injunctive Relief. You agree that unauthorized use of Event Content or CORR Content would cause CORR irreparable harm. CORR may seek injunctive relief without posting a bond, in addition to any other remedy.

10.4 Attorneys' Fees. In any action to enforce these Terms, the prevailing party is entitled to recover its reasonable attorneys' fees and costs.

10.5 Future Credentials. CORR may deny future Credentials to anyone who violates these Terms.


11. GENERAL

11.1 Governing Law and Venue. These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Any dispute arising from these Terms will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to their jurisdiction.

11.2 Order of Precedence. If these Terms conflict with a written license agreement signed by CORR, the signed license agreement controls as to the licensed use. These Terms control over any other document, including terms on any outlet's or team's website.

11.3 Changes. CORR may update these Terms at any time by posting a revised version with a new "Last Updated" date. The version in effect when you submit your application or attend the Event applies to that Event.

11.4 Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest of these Terms remain in effect.

11.5 No Waiver. CORR's failure to enforce any provision is not a waiver of its right to enforce it later.

11.6 Assignment. You may not assign these Terms or any Credential or permission under them. CORR may assign these Terms to any affiliate or successor.

11.7 Prior Events. Event Content captured at Events held before the "Last Updated" date above remains subject to the CORR media terms in effect at the time of that Event. Nothing in these Terms waives, reduces, or releases any right CORR held under those prior terms, and all such rights remain reserved.
